1. Acceptance of the Terms of Use

These terms of use are entered into by and between You and Hemispheres Service & Support Ltd., a British Virgin Islands foundation (“Community”, “we”, or “us”). The following terms and conditions, together with any documents expressly incorporated by reference (collectively, “Terms of Use”), govern your access to and use of the Hemi Network, including any content, functionality, and services offered on or through it (the “Network”).
By using the Network, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you must not access or use the Network.

2. Changes to the Terms of Use

We may revise and update these Terms of Use from time to time. All changes are effective immediately when posted and apply to all access to and use of the Network thereafter. Continued use constitutes acceptance of the revised Terms.

3. Accessing the Network and Account Security

We reserve the right to withdraw or amend this Network at any time. You are responsible for making all arrangements necessary for your access to the Network and ensuring that anyone accessing it through your connection complies with these Terms.
You agree that all registration information you provide is correct, current, and complete.

4. Intellectual Property Rights

The Network and its content are owned by Hemispheres Service & Support Ltd. and its licensors and protected by intellectual property laws.
You must not reproduce, distribute, modify, or use any materials except as permitted under these Terms.

5. Trademarks

The Hemi name, logo, and related brand assets are trademarks of Hemi or its affiliates. You may not use them without prior written permission.

6. Prohibited Uses

You may use the Network only for lawful purposes and in accordance with these Terms. You agree not to use the Network in any way that violates law, exploits minors, sends spam, impersonates others, restricts others’ use, or is otherwise harmful.

7. User Contributions

The Network may include interactive features allowing users to post content (“User Contributions”).
You represent that you own your contributions and that they comply with these Terms.
We are not responsible for content posted by you or others.

8. Monitoring and Enforcement; Termination

We may:

• Remove or refuse to post User Contributions

• Take any action regarding content that violates these Terms

• Disclose user information to rights holders

• Take legal action for illegal use

• Terminate or suspend access for any reason

We may cooperate fully with law enforcement investigations.

9. Content Standards

User Contributions must comply with applicable laws and must not be defamatory, obscene, discriminatory, deceptive, violent, infringing on rights, promoting illegal activity, or otherwise objectionable.

10. Reliance on Information Posted

The content on the Network is provided for general information only. We do not warrant its accuracy or completeness and disclaim liability for reliance on such information.

11. Disclaimer of Warranties

Your use of the Network is at your own risk. The Network is provided “as is” and “as available” without warranties of any kind.

12. Limitation on Liability

To the fullest extent permitted by law, Hemi and its affiliates shall not be liable for damages of any kind arising from your use or inability to use the Network.

13. Indemnification

You agree to indemnify and hold harmless Hemi and its affiliates from claims, liabilities, and expenses arising out of your violation of these Terms or use of the Network.

14. Release of Claims

You acknowledge the risks associated with blockchain networks and smart contracts.
You assume all risks related to your use of the Network and release Hemi from all related liability or claims.

15. Governing Law and Jurisdiction

All matters relating to the Network and these Terms shall be governed by the laws of the State of Delaware.
Legal proceedings must be brought exclusively in Delaware courts.

16. Arbitration

At Hemi’s discretion, disputes may be required to be resolved by final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.

17. Limitation on Time to File Claims

Any claim relating to these Terms or the Network must be filed within one (1) year of accrual, or it is permanently barred.

18. Waiver and Severability

No waiver by Hemi of any provision shall be deemed a continuing waiver.
If any provision is invalid, the remaining provisions continue in full force.

19. Entire Agreement

These Terms of Use and our Privacy Policy constitute the entire agreement between you and Hemi regarding the Network.
